Board of Directors
The Company’s Board is composed of ten Directors, including two executive officers. All of the Directors presently serve one-year terms and are elected at the annual meeting of shareholders, held on the third Thursday of April each year. Nominations for Directors are made by the Board or by the shareholders as provided in the Company’s Bylaws. Each of the Company's Directors also serves as a director of the Bank. References to committee assignments are to the Bank’s committees unless otherwise indicated.
Robert E. Gutlohn
Robert E. Gutlohn chairs the Asset and Liability Committee and serves on the Compliance Information Technology and Security Committee. He has been a member of the Bank’s Board since the Bank’s inception in 2005. He was born in Philadelphia, but graduated from Gulliver Preparatory School in Pinecrest in 1981. He attended the University of Florida and Eckerd College in St. Petersburg. Mr. Gutlohn holds both a Florida mortgage broker’s license as well as a Florida real estate associate’s license. In 1991, he founded Spectrum Mortgage Group, Inc. which originates loans for sale or placement with community banks in South Florida. Mr. Gutlohn has been a member of the Florida Association of Mortgage Professionals since 1990.
Joel S. Lawson IV
Joel S. Lawson IV has been a member of the Board since 2013. He is a member of the Asset and Liability and Compensation Committee. He is the managing member of Cloister Capital LLC which invests in orphaned and undervalued securities, primarily in the financial sector. Previously, he was a senior analyst at Anchorage Capital Group LLC, a hedge fund focused on credit, equity and special situation investing. Mr. Lawson graduated summa cum laude from the Wharton School at the University of Pennsylvania with a Bachelor of Science in Economics, with a dual concentration in finance and accounting.
Jeffrey E. Levey
Jeffrey E. Levey chairs the Compliance Information Technology and Security Committee and is a member of the Audit Committee. He has been a member of the Bank’s Board since the Bank’s inception in 2005. He was born in Miami and attended Palmetto Senior High School in Pinecrest where is he a resident today. He is a graduate of Harvard University and the University Of Miami School Of Law. He has been a practicing member of the Florida Bar since 1985. Before forming his own firm over 19 years ago, Mr. Levey practiced with Greenberg, Traurig and Steel, Hector & Davis. His practice is devoted to real estate and finance law, Florida Trend Magazine named him one of Florida’s legal elite in 2007. Mr. Levey is a past member of the Board of Directors of the Greater Miami Jewish Federation and the Executive Committee of the Federation’s South Dade Branch.
Thomas D. Lumpkin, II
Thomas D. Lumpkin II is Chairman of the Board and Chief Risk Officer of the Company and has served as Chairman of the Board, General Counsel and CRA Officer of the Bank since the Bank’s inception in 2005. He serves on the Asset and Liability, Loan, and Compliance Information Technology and Security Committees. Mr. Lumpkin was born in Caracas, Venezuela and graduated from Ransom Everglades School in Coconut Grove in 1972. He attended Dartmouth College and Georgetown University Law Center and has been practicing member of the Florida Bar since 1979. Before forming his own firm in 1991, Mr. Lumpkin was a partner with Valdes-Fauli, Cobb, Petrey & Bischoff, P.A. His practice is focused on bank regulatory matters and commercial and real estate transactions. He served on the Board of Directors of PineBank, N.A. for 13 years, including its credit, compliance and audit committees. He is a past chairman of the Children’s Home Society, Southeastern Division, and was a founding member of the Children’s Foundation of Greater Miami. Mr. Lumpkin is currently a shareholder in The Lumpkin Law Firm, P.A.
Sheldon B. Palley
Sheldon B. Palley chairs the Audit Committee and serves on the Loan Committee and the Company’s Compensation Committee. He has been a member of the Bank’s Board since the Bank’s inception in 2005. He graduated from the University of Miami with a degree in business in 1956 and a degree in law in 1957. He has been a practicing member of the Florida Bar with offices in Miami since 1957. He is a principal of a number of real estate and mortgage investment businesses based in Miami, including American Investment Services. Mr. Palley is an active alumnus of the University of Miami, including memberships in the Merrick Society, Iron Arrow, and Citizens Board. He is also a former President of the Friends of Ring Theatre. He is a sponsor of the Myrna and Sheldon Palley Gallery at the Lowe Art Museum in Coral Gables and is a past chairman of the Miami International Film Festival. In addition, Mr. Palley is a former Vice President and member of the Board of Trustees of Temple Judea in Coral Gables. The Ronald McDonald House honored Mr. Palley as one of “12 Good Men” in 2007.
Jonathan E. Perlman
Jonathan E. Perlman chairs the Compensation Committee and serves on the Audit, Compliance and Information Technology and Security Committees. Mr. Perlman is a shareholder in the Miami-based law firm, Genovese Joblove & Battista, P.A., where he heads the firm’s class action practice group, with an emphasis on franchise, securities and employment litigation. He is listed as a “Super Lawyer” by Florida Super Lawyers Magazine
and as one of the “Top Lawyers in South Florida” by the South Florida Legal Guide
. Mr. Perlman also has been recognized as one of the top 100 U.S. franchise attorneys by Franchise Times
magazine. Mr. Perlman serves on the Board of Directors of the Florida International University Foundation. He also is a past President of the South Florida Duke University Club and member of Duke University’s Alumni Admissions Advisory Committee. Mr. Perlman, a third generation Miamian, graduated from Duke University, cum laude
, with special distinction in psychology and received his Juris Doctorate from the University Of Florida Levin College Of Law.
Philip J. Shechter
Philip J. Shechter is an active member of the ALCO and Audit Committees. Mr. Shechter is the Litigation Support National Partner at Cherry Bekaert LLP with over 30 years of experience in audit, tax consulting, business valuation services, commercial litigation and marital dispute resolution cases. Recognized as an accounting expert witness, he works with a team of forensic accountants who quickly deliver valuable support and testimony in federal and state courts. He is a member of the American Institute of Certified Public Accountants, the Florida Institute of Certified Public Accountants, the National Association of Certified Valuation Analysts, the Institute of Business Appraisers, the Association of Certified Fraud Examiners and the Baker Tilly International, Litigation Support and Consulting Subcommittee. He is an Honor graduate of the University of Florida and has been recognized as a top CPA and Financial Professional in the South Florida Legal Guide and Business Journal since 2004.
George M. Schweitzer
George M. Schweitzer is Vice Chairman of the Board, chairs the Loan Committee and serves on the Compliance and Compensation Committees. He has been a member of the Bank’s Board since the Bank’s inception in 2005. He has been a Miami resident since 1957. He is a principal of several Miami based mortgage investment and home improvement businesses, including JMA Associates and Encore Services. Together with Mr. Palley, he controls American Investment Services, a separate mortgage investment business. From 1982 until June, 2004, Mr. Schweitzer was a Director of Executive National Bank, including its Vice Chairman and the chairman of its loan committee. He was also a Director of Floridian Community Bank in Broward County.
Steven R. Simon
Steven R. Simon serves on the Company’s Compensation Committee. He has been a member of the Bank’s Board since the Bank’s inception in 2005. He attended Highland Park High School in the Chicago area, the University of South Florida, where he obtained a Bachelor of Arts in Business Administration and the University of Miami where he received his law degree in 1985. Mr. Simon has been Board Certified in Civil Trial Law since 1995 and is currently a member of the Florida Bar, the District Court for the Southern District of Florida and the 11th
Circuit Court of Appeals. He has been involved in the management and the operation of insurance companies and the establishment and oversight of in-house law departments for Security National Insurance Company, Inc. and Coast National Insurance Company. In 2011 Mr. Simon left the practice of law to become Chief Operating Officer of Ginnybakes producing organic, gluten-free treats.
Lorie Yarchin is the Chief Executive Officer of Biscayne Bank and has served in that role since its inception in 2005. A 42 year veteran of South Florida’s banking industry; she also serves as a Director of the Bank’s holding company and sits on the Asset and Liability, Loan, and Compliance and Information Technology and Security Committees. Ms. Yarchin’s knowledge of the South Florida market and its international client base helped transform the bank from one office in Coconut Grove to four branches serving the Miami-Dade area. Ms. Yarchin is a South Florida native and graduate of the University of Florida.
Aside from Mr. Lumpkin and Ms. Yarchin, the following are the executive officers of the Bank and the Company.
Ana L. Dominguez
Ana L. Dominguez joined the Bank in May, 2006, as Executive Vice President and Chief Lending Officer. She is responsible for the overall coordination of the Bank’s lending activities, credit culture, and the activities of the retail units. She also heads the Bank’s marketing committee. Ms. Dominguez is a graduate of Florida International University with a degree in Business Administration and Finance. She has over 25 years of experience in banking in South Florida with an emphasis on all areas of credit and lending. She has served on the FIU – International Studies – TCS Advisory Board and was selected by Miami Dade College as a 2007 “community leader”. She was a founding Board Member of Hands On Miami, has acted as Co-Chair for the Greater Miami Chamber of Commerce Chairman’s Club, coordinator for the United Way and March of Dimes, and has led teams for Habitat for Humanity.
Jean-Marie Florestal has been the Bank’s Chief Financial Officer since the Bank’s inception in July, 2005. He has been a South Florida resident since 1983. He earned a Business Management Diploma in 1981 from La Salle Extension University of Chicago, Illinois; an AICB in 1986 from the Institute of Canadian Bankers of Montreal, Canada; a National Graduate Compliance School Diploma from the American Bankers Association in 1993 at the University of Oklahoma, Norman, Oklahoma; an Associate of Arts degree at the Miami Dade Community College, in Miami, Florida, in 1989; and a Bachelor of Business Administration at the Florida International University in Miami, Florida in 1992. Mr. Florestal has been a banker since 1973, starting with The Royal Bank of Canada where he spent 14 years. For the ten-year period preceding his involvement with Biscayne Bank, he was the Chief Financial Officer at two other community banks in South Florida. He has been a member of the Miami-Dade Urban Bankers and has sat on the Boards of two community organizations.
